The European Company (SE) Statute: up against increasing competition?

Companies have been able to adopt the statute of a European Company (Societas Europaea or SE) for some six years now.¹ In the meantime, a number of alternatives to the SE statute have emerged, including the cross-border merger and the proposal for a European Private Company (Societas Privata Europaea or SPE). This article shows that current SE legislation can be considered as the temporary pinnacle of employee involvement at EU level, with the main danger for employee participation rights seeming at present to come from European Court of Justice case-law on the freedom of establishment, which poses fundamental problems to participation.

Cela fait à présent six ans que les entreprises ont été en mesure d’adopter le statut de société européenne (Societas Europaea ou SE). Depuis lors, un certain nombre d’alternatives au statut de SE ont émergé, y compris la fusion transfrontalière et la proposition d’une société privée européenne (Societas Privata Europaea ou SPE). Cet article montre que la législation actuelle sur la SE peut être considérée comme l’apogée temporaire de l’implication des travailleurs au niveau de l’UE, le principal danger pour les droits de participation des travailleurs semblant à présent provenir de la jurisprudence de la Cour de justice de l’UE sur la liberté d’établissement, qui pose des problèmes fondamentaux en matière de participation.

Seit sechs Jahren haben Unternehmen die Möglichkeit, eine Europäische Aktiengesellschaft (Societas Europaea-SE) zu gründen. In der Zwischenzeit sind auch einige Alternativen zum Statut der SE hinzugekommen, darunter grenzübergreifende Verschmelzungen und der Vorschlag für das Statut einer europäischen Privatgesellschaft (Societas Privata Europaea-SPE). Dieser Beitrag zeigt, dass die Arbeitnehmerbeteiligung auf EU-Ebene mit den derzeit geltenden SE-Rechtsvorschriften einen Höhepunkt erreicht hat, der jedoch befristet sein könnte. Die größte Gefahr für die Mitbestimmungsrechte der Arbeitnehmer geht von der Rechtsprechung des Europäischen Gerichtshofs zur Niederlassungsfreiheit aus, die grundlegende Probleme für die Arbeitnehmerbeteiligung mit sich bringt.
